Promotion Rules

Introduction

These Promotion Rules ("Rules") are published by FoodieBits LLC, a Texas limited liability company ("FoodieBits," "Sponsor," "we," "us," or "our") and apply to all promotions, sweepstakes, giveaways, reward campaigns, Lunch Drops, Dinner Giveaways, Big Bites, spin rewards, scratch rewards, and other promotional activities offered through the FoodieBits application or website (each, a "Promotion"). These Rules supplement the FoodieBits Terms of Service. By participating in any Promotion, you agree to be bound by these Rules and the Terms of Service.

Individual Promotions may include additional terms, conditions, eligibility requirements, or restrictions ("Promotion Details") displayed within the FoodieBits app at the time the Promotion is presented. In the event of any conflict between these Rules and the Promotion Details for a specific Promotion, the Promotion Details shall control for that Promotion.

1. No Purchase Necessary

NO PURCHASE, PAYMENT, OR MONETARY CONTRIBUTION OF ANY KIND IS NECESSARY TO ENTER, PARTICIPATE IN, OR WIN ANY FOODIEBITS PROMOTION. A PURCHASE DOES NOT IMPROVE A PARTICIPANT'S CHANCES OF WINNING OR RECEIVING A REWARD.

A free method of entry is available for every Promotion. Where a Promotion requires an entry action, the free alternate method of entry is described in the Promotion Details displayed in the FoodieBits app. Participants who enter through the free method of entry receive the same opportunity to participate as all other entrants.

2. Eligibility

Promotions are open only to natural persons who meet all of the following requirements at the time of entry:

Unless the Promotion Details for a specific Promotion state otherwise, the following persons are not eligible to participate: employees, officers, directors, managers, contractors, and agents of FoodieBits and of any participating merchant, and the immediate family members (defined as spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and household members (whether or not related) of any such person.

Promotions are void where prohibited or restricted by applicable federal, state, local, or foreign law.

FoodieBits reserves the right to verify the eligibility of any participant and to request proof of identity, age, residency, or any other eligibility requirement at any time. Failure to provide requested verification within the timeframe specified may result in disqualification and forfeiture of any reward.

3. Nature of Promotions and Rewards

FoodieBits Promotions are entertainment and marketing experiences. Participation in a Promotion does not require consideration beyond the actions described in the Promotion Details, none of which require purchase or payment.

4. Redemption

Rewards are redeemed in person at a participating merchant by presenting the one-time redemption code generated in the FoodieBits app. Redemption codes are single-use, non-transferable, and expire as stated at the time of unlock. Expired or previously used codes are void and will not be honored. Screenshots, photographs, or reproductions of redemption codes are not valid.

Redemption is subject to the specific terms displayed to the participant at the time of unlock, including without limitation any expiration window, eligible menu categories, excluded dates, dine-in-only restrictions, minimum purchase requirements, and per-visit limits.

Merchant participation may change at any time. If a merchant is no longer participating at the time of attempted redemption, FoodieBits may, in its sole discretion, substitute a reward of comparable type and approximate value, extend the redemption period, or void the reward where substitution is not reasonably practicable. FoodieBits shall have no liability for rewards that cannot be redeemed due to changes in merchant participation.

In no case does a reward generate cash back, a refund, a credit to a payment method, or a transferable balance. Unused value remaining after a redemption is forfeited on that visit for campaign-type rewards (Lunch Drops, Dinner Giveaways, Big Bites) and returned to the participant's Bites balance for value-type rewards drawn from accumulated Bites, as described in the Promotion Details.

5. Odds, Limits, and Administration

The number of rewards available, the participation window, entry frequency limits, and any per-account, per-household, per-device, or per-market limits are described in each Promotion's Details. Where odds of winning depend on the number of eligible entries received, estimated odds will be disclosed in the Promotion Details to the extent required by applicable law.

FoodieBits reserves the right to impose reasonable participation limits to ensure the fair administration of any Promotion.

6. Modification, Suspension, and Cancellation

FoodieBits reserves the right, in its sole discretion, to modify, suspend, extend, or cancel any Promotion at any time, including without limitation where the Promotion is affected by technical failure, unauthorized intervention, fraud, abuse, force majeure, or any factor that in the sole judgment of FoodieBits compromises the integrity or fair administration of the Promotion. In such event, FoodieBits may, to the extent feasible, select recipients from among all eligible entries received prior to the event requiring modification or cancellation.

Rewards already unlocked and validly claimed by participants prior to the effective date of any modification or cancellation shall remain subject to their stated terms, except where fulfillment is rendered impracticable by circumstances beyond the control of FoodieBits.

7. Conduct and Disqualification

By participating in any Promotion, you agree that you will not:

Any violation of the foregoing, as determined by FoodieBits in its sole discretion, shall result in immediate disqualification, forfeiture of any pending or unlocked rewards, and may result in account suspension or termination and referral to law enforcement where warranted.

8. Release, Waiver, and Limitation of Liability

By participating in any Promotion, you release and discharge FoodieBits, its members, managers, officers, employees, agents, and service providers, and each participating merchant (collectively, the "Released Parties") from any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses arising out of or in connection with your participation in the Promotion, your acceptance, use, or redemption of any reward, any interaction with any participating merchant, or any technical or administrative error in the operation of the Promotion.

THE RELEASED PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH ANY PROMOTION. THE AGGREGATE LIABILITY OF THE RELEASED PARTIES IN CONNECTION WITH ANY PROMOTION SHALL NOT EXCEED THE STATED VALUE OF THE APPLICABLE REWARD, OR TEN DOLLARS ($10.00), WHICHEVER IS LESS.

THE RELEASED PARTIES ARE NOT RESPONSIBLE FOR LOST, LATE, MISDIRECTED, ILLEGIBLE, INCOMPLETE, OR UNINTELLIGIBLE ENTRIES, OR FOR ANY TECHNICAL MALFUNCTION, NETWORK FAILURE, SOFTWARE ERROR, OR OTHER ERROR THAT PREVENTS A PARTICIPANT FROM ENTERING OR COMPLETING A PROMOTION.

9. Publicity

Except where prohibited by applicable law, participation in a Promotion constitutes the participant's consent to the use of their first name, last initial, city, state, and general likeness by FoodieBits for promotional, advertising, and publicity purposes in any medium, without additional compensation or notice. Where applicable law requires prior written consent for such use, FoodieBits will obtain consent before publication.

10. Privacy and Data Collection

Information collected in connection with a Promotion is subject to the FoodieBits Privacy Policy. By participating, you consent to the collection, use, and processing of your personal information as described in the Privacy Policy and as necessary to administer the Promotion, verify eligibility, deliver rewards, and comply with applicable law.

11. Taxes

Participants are solely responsible for any federal, state, local, or foreign taxes, duties, or assessments associated with a reward they receive, including without limitation income tax, sales tax, and use tax. Where required by applicable law, FoodieBits may report the value of rewards to the appropriate taxing authority and may require the participant to complete and return tax forms (such as IRS Form W-9) as a condition of receiving a reward. Failure to provide required tax documentation may result in forfeiture of the reward.

12. Disputes

Any dispute arising out of or in connection with a Promotion shall be resolved in accordance with the dispute resolution provisions of the FoodieBits Terms of Service, including the binding arbitration clause and class action waiver set forth therein.

All issues and questions concerning the construction, validity, interpretation, and enforceability of these Rules, or the rights and obligations of participants, shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-law principles.

13. Sponsor and Administrator

The sponsor and administrator of each Promotion is FoodieBits LLC, a Texas limited liability company, unless the Promotion Details for a specific Promotion identify a different sponsor or co-sponsor. Where a participating merchant co-sponsors a Promotion, the merchant's identity and role will be disclosed in the Promotion Details.

14. Severability

If any provision of these Rules is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to render it enforceable, or if modification is not possible, shall be severed. The remaining provisions shall continue in full force and effect.
